Payment Policy

Effective Date: 23/06/2026

This Payment Policy ("Policy") is issued by UdyogIndia Innovations Private Limited ("Company") and governs the payment-related and transaction enablement services made available to eligible Buyers and Sellers using the Platform.

The Platform is a technology-enabled business-to-business ("B2B") marketplace facilitating business discovery, supplier verification, commercial matchmaking, payment facilitation, transaction enablement, and related business services between Buyers and Sellers.

PAYMENT SERVICES

    a) The UdyogIndia Payment Plan ("Plan") comprises payment facilitation and transaction enablement services provided by the Company to eligible Buyers and Sellers for transactions initiated or facilitated through the Platform.

    b) The Services are introduced to facilitate smoother payment workflows and enhance transactional efficiency between Buyers and Sellers ("User" / "Users") connected through the Platform. The Services may include payment facilitation, escrow-based payment arrangements, settlement assistance, transaction documentation support, and other related services as may be introduced by the Company from time to time.

    c) The Services do not constitute:

        i) an insurance contract;

        ii) a financial guarantee;

        iii) a surety arrangement;

        iv) an unconditional indemnity;

        v) a warranty of Seller performance;

        vi) an assurance of product quality, delivery, or commercial success;

        vii) a banking service, except where expressly provided through authorised banking or payment partners.

    d) The Company may facilitate the following transaction-related services, subject to eligibility, availability, and applicable terms:

        i) payment facilitation and settlement assistance;

        ii) escrow-based payment arrangements through authorised payment or escrow partners;

        iii) transaction processing support;

        iv) supplier verification and trust enhancement services;

        v) factory verification, factory-video production, and business presentation services;

        vi) logistics facilitation and shipment-related support services;

        vii) transaction-based commission or service fee arrangements; and

    e) Where the Company facilitates escrow or payment holding arrangements, such services shall operate only in accordance with applicable escrow terms, banking arrangements, payment partner terms, or other service-specific conditions. The Company shall not be deemed to hold customer funds, provide banking services, or undertake any regulated financial activity except to the extent expressly permitted under applicable law.

    f) Verification services, factory-video production services, logistics facilitation services, and similar business enablement services are provided solely to improve transparency, business visibility, and transaction facilitation. Such services shall not constitute:

        i) certification of Seller capability;

        ii) warranty of product quality;

        iii) guarantee of transaction performance;

        iv) confirmation of financial standing; or

        v) assurance of future business outcomes.

    g) The availability of any payment-related service shall not influence, validate, secure, or guarantee the Buyer's decision to enter into any transaction. Buyers and Sellers shall remain solely responsible for conducting independent due diligence, evaluating commercial risks, and determining whether to proceed with any transaction.

    h) No right, entitlement, or benefit shall arise merely by registration on the Platform, purchase of membership, use of verification services, payment of transaction fees, purchase of visibility services, or participation in any Platform activity. Any service provided by the Company shall be subject to applicable eligibility requirements, documentation requirements, and service-specific conditions.

DEFINITIONS

For the purpose of this Policy:

    a) "Buyer" means any registered business entity, organisation, or person acting for commercial purposes that purchases, intends to purchase, or engages with Sellers through the Platform.

    b) "Seller" means any registered business entity, manufacturer, supplier, trader, service provider, or other commercial entity offering goods or services through the Platform.

    c) "Verified Seller" means a Seller whose business information, documents, premises, contact details, tax details, or other relevant information have been reviewed or verified by the Company through its internal verification process. Verification status shall not constitute endorsement, certification, guarantee, or warranty of the Seller or its products.

    d) "Platform" means the digital platform, website, mobile application, technology infrastructure, or related services operated or managed by the Company.

    e) "Matchmaking" means the first recorded introduction, enquiry exchange, communication, or business connection between Buyer and Seller through the Platform for a specific product or service.

    f) "Eligible Transaction" means a transaction satisfying the applicable eligibility conditions prescribed under this Policy, including payment, documentation, transaction route, and procedural requirements.

    g) "Escrow Service" means a payment facilitation arrangement under which transaction funds may be held, controlled, or released pursuant to agreed conditions through an authorised payment, banking, or escrow partner.

    h) "Payment Service" means any payment-related service facilitated through the Platform, including payment collection assistance, settlement assistance, escrow facilitation, transaction processing support, and other related services.

    i) "Transaction Commission" means any service fee, facilitation fee, processing fee, commission, or other commercial charge payable to the Company for providing transaction-related services.

ELIGIBILITY CONDITIONS

    a) The transaction must have originated through the Platform, and the initial matchmaking or commercial interaction between the Buyer and Seller must have occurred through the Platform. The Services shall not apply to:

        i) transactions initiated independently outside the Platform;

        ii) transactions where the Platform was not involved in facilitating the commercial interaction; or

        iii) transactions conducted in violation of applicable Platform policies.

    b) The Seller may be required to have an active Verified Seller status or satisfy applicable Seller eligibility criteria determined by the Company. Verification status shall be determined solely in accordance with the Company's internal verification process.

    c) Payment-related services shall apply only to transactions:

        i) listed on the Seller's Platform profile or catalogue;

        ii) offered through the Platform; and

        iii) forming part of the agreed transaction documentation between Buyer and Seller.

    d) The transaction must comply with applicable laws of India and must not involve:

        i) prohibited goods;

        ii) restricted products;

        iii) unlawful services; or

        iv) transactions prohibited under applicable law or Company policies.

    e) Where payment facilitation services are utilised, payment shall be made through:

        i) the payment mechanism specified by the Company;

        ii) an approved payment channel; or

        iii) other authorised payment arrangements communicated through the Platform.

    f) Payments made through unauthorised channels, personal accounts, undisclosed third-party accounts, or methods outside the approved process may not qualify for payment facilitation services.

    g) Where Escrow Service is utilised, eligibility shall additionally require:

        i) acceptance of applicable escrow terms;

        ii) deposit of funds through approved payment channels;

        iii) compliance with escrow release conditions; and

        iv) submission of required transaction documentation.

    h) The Buyer and Seller shall provide accurate and complete information required for:

        i) KYC verification;

        ii) payment processing;

        iii) escrow management;

        iv) fraud prevention; and

        v) regulatory compliance.

DOCUMENTATION AND PAYMENT PROCESS

    a) Buyers and Sellers may be required to submit relevant documents and information in the manner prescribed by UdyogIndia for availing payment-related services.

    b) Such documents may include:

        i) transaction details;

        ii) purchase orders or invoices;

        iii) payment confirmation details;

        iv) business and KYC documents;

        v) escrow-related documents, where applicable; and

        vi) any additional documents reasonably required by UdyogIndia.

    c) Failure to provide complete and accurate documentation within the prescribed timeline may result in suspension, delay, or inability to provide the relevant payment service.

    d) UdyogIndia reserves the right to independently verify the authenticity of documents and may seek clarification or additional information where required.

SCOPE OF PAYMENT SERVICES

    a) UdyogIndia may facilitate payment-related services subject to applicable terms, availability, and eligibility requirements.

    b) UdyogIndia reserves the right to modify, approve, defer, suspend, or discontinue any payment-related service based on operational, compliance, security, or regulatory considerations.

    c) Payment Services shall be limited to facilitation, processing assistance, and transaction enablement.

    d) UdyogIndia shall not be responsible for:

        i) Seller failure to supply goods or services;

        ii) product quality disputes;

        iii) delivery delays;

        iv) contractual disputes between Buyer and Seller;

        v) commercial losses suffered by either party; or

        vi) refund, reimbursement, or compensation obligations arising from transactions between Buyers and Sellers.

    e) Provision of any Payment Service shall not constitute a guarantee of transaction completion, Seller performance, product quality, or commercial outcome.

    f) Buyers and Sellers remain solely responsible for their respective contractual obligations and commercial decisions.

EXCLUSIONS

The Payment Services shall not apply or shall not create any obligation upon UdyogIndia in the following circumstances:

    a) Transactions conducted outside the Platform or without utilisation of applicable Platform payment processes.

    b) Transactions involving prohibited, restricted, unlawful, or unauthorised goods or services.

    c) Disputes relating to product quality, specifications, quantity, performance, suitability, or commercial expectations between Buyers and Sellers.

    d) Delays, failures, or disputes arising due to acts, omissions, negligence, breach of contract, or non-performance by Buyers or Sellers.

    e) Transactions where incorrect, incomplete, misleading, or unauthorised information has been provided by any User.

    f) Payments made through unauthorised channels, personal accounts, undisclosed third-party accounts, or methods not approved through the Platform.

    g) Losses arising due to circumstances beyond the reasonable control of UdyogIndia, including technical failures, regulatory restrictions, force majeure events, or third-party service interruptions.

    h) Disputes relating to transportation, logistics, installation, servicing, maintenance, warranty obligations, or after-sales support between Buyers and Sellers.

    i) Any transaction not supported by valid documentation or not compliant with applicable laws, Platform policies, or service-specific requirements.

    j) Any expectation of refund, reimbursement, compensation, or recovery from UdyogIndia arising out of commercial transactions between Buyers and Sellers.

BUYER AND SELLER DECLARATIONS AND UNDERTAKINGS

    a) Buyers and Sellers represent and warrant that all information, documents, and details provided by them to UdyogIndia are true, accurate, complete, and not misleading.

    b) Buyers and Sellers undertake that they shall comply with all applicable laws, contractual obligations, and regulatory requirements relating to their transactions.

    c) Buyers acknowledge that they are responsible for conducting independent due diligence, evaluating Sellers, assessing products or services, and determining the suitability of any transaction before making payments.

    d) Sellers acknowledge that they are solely responsible for fulfilling their contractual obligations towards Buyers, including supply, delivery, quality, documentation, and compliance requirements.

    e) Buyers and Sellers agree to cooperate with UdyogIndia for payment processing, verification, compliance checks, fraud prevention measures, and any other operational requirements.

    f) Buyers and Sellers acknowledge that UdyogIndia is only a technology-enabled intermediary and does not assume responsibility for the commercial relationship between the parties.

FALSE, FRAUDULENT, OR MISLEADING INFORMATION

    a) If any information, document, representation, or declaration provided by a User is found to be false, fraudulent, misleading, fabricated, or materially inaccurate, UdyogIndia shall have the right to:

        i) suspend or terminate the relevant services;

        ii) restrict access to the Platform;

        iii) refuse further processing of transactions; and

        iv) take any other action available under applicable law.

    b) Users shall be responsible for any consequences arising from submission of false, fraudulent, or misleading information.

    c) Submission of forged documents, unauthorised payment instructions, or fraudulent transaction details may result in legal action under applicable laws.

PAYMENT PROCESSING AND THIRD-PARTY SERVICES

    a) UdyogIndia may utilise authorised third-party payment service providers, banking partners, escrow service providers, technology providers, or other service providers for facilitating payment-related services.

    b) Such third-party services shall be governed by their respective terms, conditions, policies, and applicable legal requirements.

    c) UdyogIndia shall not be responsible for:

        i) acts or omissions of third-party service providers;

        ii) technical failures attributable to third-party systems;

        iii) delays caused by banking networks, payment gateways, or financial institutions; or

        iv) disputes arising directly between Users and such third-party service providers.

    d) Users agree to comply with all requirements imposed by applicable payment partners and service providers.

BUYER AND SELLER INDEMNITY

    a) Each User agrees to indemnify, defend, and hold harmless UdyogIndia Innovations Private Limited, its directors, officers, employees, affiliates, representatives, agents, and service providers from and against any losses, claims, liabilities, damages, costs, expenses, or proceedings arising out of:

        i) breach of this Policy or any applicable Platform terms;

        ii) inaccurate, incomplete, or misleading information provided by the User;

        iii) violation of applicable laws or regulations;

        iv) fraudulent, unlawful, or unauthorised activities conducted through the Platform;

        v) disputes between Buyers and Sellers; or

        vi) misuse of payment-related services.

    b) The indemnity obligations under this clause shall survive termination, suspension, or discontinuation of Platform services.

    c) UdyogIndia shall have the right to defend and control any matter where indemnification is applicable, and the User shall provide reasonable cooperation.

NO GUARANTEE; NO FIDUCIARY DUTY; NO AGENCY

    a) UdyogIndia is not a party to any commercial transaction between Buyers and Sellers and does not guarantee supplier performance, product quality, delivery timelines, contractual compliance, or financial capacity of any Seller.

    b) UdyogIndia does not assume any fiduciary duty, trustee obligation, advisory responsibility, or agency relationship towards any Buyer or Seller.

    c) Nothing contained in this Policy shall be interpreted as creating any partnership, joint venture, agency, employment relationship, representative capacity, or insurance relationship between UdyogIndia and any User.

    d) UdyogIndia shall not be liable for any act, omission, negligence, misconduct, breach of contract, or statutory violation committed by any Buyer, Seller, payment partner, or third-party service provider.

    e) Participation in any payment-related service shall not create any special relationship of reliance, and all commercial decisions remain solely the responsibility of the relevant Users.

LIMITATION OF LIABILITY

    a) To the maximum extent permitted under applicable law, UdyogIndia shall not be liable for any indirect, incidental, special, punitive, or consequential damages arising from:

        i) transactions between Buyers and Sellers;

        ii) payment disputes;

        iii) product or service disputes;

        iv) Seller actions or omissions;

        v) Buyer decisions; or

        vi) events beyond UdyogIndia's reasonable control.

    b) UdyogIndia shall not be responsible for losses arising from:

        i) failure of a Buyer or Seller to perform contractual obligations;

        ii) inaccurate information provided by Users;

        iii) unauthorised transactions;

        iv) third-party payment service failures; or

        v) commercial decisions made by Users.

    c) The Company's total liability, if any, arising from provision of Payment Services shall be limited to the extent expressly provided under the applicable service terms governing such services.

MODIFICATION, SUSPENSION AND TERMINATION

    a) UdyogIndia reserves the right to modify, suspend, discontinue, or revise Payment Services or related provisions of this Policy from time to time.

    b) Any modification shall become effective upon publication through the Platform or communication through appropriate channels.

    c) UdyogIndia may suspend or terminate payment-related services where:

        i) a User violates this Policy;

        ii) suspicious, fraudulent, or unlawful activity is detected;

        iii) required documentation or information is not provided;

        iv) continuation of services may violate applicable law; or

        v) operational or security considerations require such action.

    d) Suspension or termination shall not affect obligations or liabilities accrued before such action.

GOVERNING LAW AND JURISDICTION

    a) This Policy shall be governed by and construed in accordance with the laws of India.

    b) The Courts at New Delhi, India shall have exclusive jurisdiction over any dispute arising out of or relating to this Policy.

    c) Users agree to submit to such jurisdiction and waive any objection regarding the venue or jurisdiction of such courts.
