UdyogIndia is a business listing and marketplace platform intended to connect buyers, sellers, manufacturers, suppliers, traders, service providers, wholesalers, distributors, exporters, importers, and other business users. The platform may allow users to create business profiles, display product or service catalogues, publish company information, receive enquiries, communicate with potential customers or suppliers, advertise their business, subscribe to promotional services, and use other business-related services provided by UdyogIndia from time to time.

UdyogIndia acts only as a facilitator for business discovery and communication between users. Unless expressly stated in writing, UdyogIndia does not itself become a party to any transaction, negotiation, sale, purchase, supply, delivery, payment, refund, warranty, service agreement, quotation, purchase order, invoice, contract, or commercial arrangement entered into between users. Any business dealing made through or as a result of the platform is strictly between the concerned buyer and seller.

The role of UdyogIndia is limited to providing a digital platform where users may discover each other, exchange information, make enquiries, display products or services, and communicate for business purposes. UdyogIndia does not guarantee that any enquiry will result in a transaction, that any buyer will make payment, that any seller will deliver goods or services, or that any product or service listed on the platform will meet the expectations of another user.

For the purpose of these Terms and Conditions, "UdyogIndia", "we", "our", or "us" refers to the owner and operator of the UdyogIndia platform. The term "platform" refers to the UdyogIndia website, mobile application, digital services, communication tools, listings, catalogues, forms, software, databases, advertisements, subscription services, and any other service provided under the name UdyogIndia.

The term "user", "you", or "your" refers to any person, company, firm, business, seller, buyer, supplier, manufacturer, trader, service provider, visitor, advertiser, registered member, unregistered visitor, employee, representative, agent, or entity that accesses or uses the platform. A buyer refers to a user who searches for, enquires about, negotiates for, purchases, or intends to purchase products or services through the platform. A seller or supplier refers to a user who lists, promotes, offers, sells, supplies, manufactures, distributes, or provides products or services through the platform.

The term "content" includes all text, images, photographs, videos, logos, trademarks, company descriptions, product details, service details, catalogues, brochures, documents, advertisements, messages, reviews, ratings, feedback, quotations, and other information uploaded, displayed, submitted, transmitted, or shared by users on or through the platform.

By using UdyogIndia, you confirm that you are legally competent to enter into a binding agreement and that you are at least 18 years of age. If you are using the platform on behalf of a company, partnership firm, proprietorship, limited liability partnership, trust, association, organization, government body, or any other business entity, you confirm that you have the legal authority to accept these Terms and Conditions on behalf of such entity.

You also confirm that all information provided by you to UdyogIndia is true, accurate, complete, current, and not misleading. You shall not use the platform if you are legally prohibited from entering into a contract, operating a business, purchasing or selling the relevant products or services, or using such digital services under applicable law.

UdyogIndia reserves the right to refuse registration, restrict access, suspend services, or terminate accounts where it believes that the user is not eligible to use the platform or has provided false, misleading, incomplete, or unlawful information.

Users may be required to create an account or provide business information in order to access certain services. Registration may require submission of details such as name, business name, mobile number, email address, business address, product or service category, GST details, documents, and other information as requested by UdyogIndia. You agree to provide accurate and updated information during registration and throughout your use of the platform.

You are responsible for maintaining the confidentiality of your account details, login credentials, passwords, OTPs, and all activities carried out through your account. Any activity conducted through your account shall be deemed to have been conducted by you, unless you prove unauthorized use not caused by your negligence. UdyogIndia shall not be responsible for any loss or damage arising from unauthorized use of your account due to your failure to maintain account security.

You agree to immediately inform UdyogIndia if you become aware of any unauthorized access, misuse, suspicious activity, loss of credentials, or security breach related to your account. UdyogIndia may suspend or restrict your account temporarily or permanently if it suspects unauthorized use, fraudulent activity, breach of these Terms, or risk to other users.

UdyogIndia may request users to provide identity proof, business registration documents, GST details, address proof, contact information, bank details, licenses, certificates, product certifications, authorization letters, tax information, or any other documents for verification, compliance, service activation, fraud prevention, or account review purposes. Submission of such information does not guarantee verification, approval, better ranking, increased visibility, confirmed enquiries, sales, business growth, or any specific commercial result.

UdyogIndia may verify information through internal review, third-party agencies, public databases, government records, telephonic verification, document checks, or other methods considered appropriate. However, verification by UdyogIndia, if any, should not be treated as a guarantee of the authenticity, reliability, financial standing, legal compliance, product quality, or business conduct of any user.

UdyogIndia reserves the right to approve, reject, suspend, remove, downgrade, or modify any user profile, listing, advertisement, verification status, badge, subscription, or account at its sole discretion. Users remain fully responsible for maintaining valid business registrations, licenses, permits, certifications, and legal compliances required for their products, services, or business activities.

Sellers, suppliers, manufacturers, traders, distributors, wholesalers, exporters, importers, and service providers using UdyogIndia are solely responsible for the accuracy, legality, quality, availability, pricing, description, images, specifications, delivery terms, warranty terms, refund terms, service commitments, certifications, and all other details relating to the products or services listed by them. Sellers must ensure that all products and services offered through the platform are genuine, lawful, safe, properly described, and compliant with applicable laws.

Sellers must not post false claims, misleading prices, fake discounts, copied images, unauthorized brand names, counterfeit goods, prohibited goods, fake certificates, or any content that may deceive buyers. Sellers are responsible for ensuring that their listings do not violate tax laws, consumer protection laws, product safety laws, intellectual property laws, environmental laws, industry-specific rules, import-export laws, packaging laws, labelling laws, or any other applicable legal requirement.

UdyogIndia does not verify or guarantee the quality, authenticity, legality, availability, pricing, delivery, suitability, safety, performance, or merchantability of any product or service listed by users. Sellers are responsible for handling buyer queries, quotations, negotiations, order fulfilment, delivery, installation, warranty claims, after-sales service, returns, replacements, refunds, invoices, tax compliances, and disputes arising from their products or services.

Buyers using UdyogIndia are responsible for independently verifying the details of sellers, products, services, prices, specifications, certifications, licenses, delivery terms, payment terms, warranties, business credentials, tax details, and all other relevant information before entering into any transaction. Buyers understand that any purchase decision, payment, negotiation, agreement, quotation, purchase order, or transaction made with a seller is undertaken at their own risk.

Buyers should conduct proper due diligence before making payments, sharing sensitive information, placing bulk orders, accepting quotations, or relying on seller representations. Buyers are advised to verify seller identity, business address, GST details, product samples, quality standards, delivery capacity, refund terms, and legal documents wherever necessary.

UdyogIndia does not guarantee the conduct, reliability, capability, financial standing, product quality, service quality, legal compliance, delivery ability, or performance of any buyer, seller, supplier, manufacturer, trader, service provider, or other user. Buyers shall not misuse the platform by submitting fake enquiries, spam requests, abusive messages, misleading requirements, or fraudulent purchase intentions.

All transactions, negotiations, payments, deliveries, refunds, replacements, warranties, after-sales services, invoices, tax compliances, purchase orders, quotations, contracts, and disputes between users are strictly between the concerned users. UdyogIndia is not responsible for non-payment, delayed payment, chargebacks, non-delivery, delayed delivery, defective goods, damaged goods, counterfeit goods, unsatisfactory services, false representations, breach of warranty, refund disputes, replacement disputes, tax disputes, invoice disputes, quality disputes, or any other claim arising from transactions between users.

Users are advised to maintain proper written records of all transactions, including quotations, invoices, purchase orders, payment receipts, delivery challans, warranty documents, quality certificates, and communication records. UdyogIndia may, at its discretion, assist users by providing available platform records or communication details, but it is not obligated to mediate, arbitrate, resolve, or compensate users for disputes.

Any payment made directly between users, outside any payment mechanism specifically provided by UdyogIndia, is at the sole risk of the concerned users. UdyogIndia shall not be liable for loss arising from advance payments, fraudulent payment links, fake invoices, incorrect bank details, non-delivery, or breach of commercial terms agreed between users.

Product prices, service charges, offers, discounts, delivery timelines, availability, images, catalogues, specifications, minimum order quantities, service descriptions, and other details displayed on UdyogIndia may be provided by sellers or third parties. Such information may be indicative and subject to change without notice. Final pricing, taxes, freight charges, installation charges, packaging charges, payment terms, commercial terms, and delivery obligations must be confirmed directly between the buyer and the seller.

UdyogIndia does not guarantee that any product listed on the platform is available, correctly priced, suitable for the buyer's purpose, compliant with specific standards, or capable of delivery within the stated time. Listings may be updated, removed, modified, or become unavailable without prior notice.

UdyogIndia reserves the right to edit, reject, hide, suspend, downgrade, or remove any listing, profile, advertisement, image, catalogue, or content that appears false, misleading, unlawful, inappropriate, duplicate, prohibited, outdated, infringing, poor quality, or harmful to the interests of the platform or its users.

Certain services offered by UdyogIndia may be free, paid, subscription-based, promotional, advertising-based, lead-based, featured-listing based, or performance-based. Fees, if applicable, shall be communicated before activation or purchase of the relevant service. Paid services may include premium listing, business promotion, advertising, lead access, category visibility, verification support, catalogue enhancement, or other features introduced by UdyogIndia.

Unless expressly stated in writing, fees paid to UdyogIndia are non-refundable. Payment for any paid service does not guarantee sales, confirmed orders, minimum enquiries, revenue, business growth, search ranking, buyer response, visibility level, lead conversion, or any particular commercial result. Users understand that business results depend on several factors beyond UdyogIndia's control, including market demand, pricing, seller response time, product quality, competition, buyer interest, and user conduct.

UdyogIndia may modify its pricing, subscription plans, validity periods, service features, benefits, promotional offers, payment terms, renewal terms, or refund rules at any time. Any taxes, duties, charges, or government levies applicable to paid services shall be borne by the user.

UdyogIndia may provide buyer enquiries, leads, contact details, business opportunities, promotional visibility, quotation requests, product interests, or similar services to sellers and suppliers. Such services are provided on an "as available" basis. UdyogIndia does not guarantee that any lead or enquiry will be genuine, complete, accurate, current, responsive, exclusive, verified, or converted into a sale.

A lead may be shared with one or more sellers depending on product category, location, subscription plan, buyer requirement, platform algorithm, or operational decision. UdyogIndia may contact buyers to confirm or improve enquiry details, but such action does not guarantee buyer intent, payment capacity, or transaction completion.

Users receiving enquiries or leads must use them only for lawful business purposes and must not misuse, resell, distribute, publish, spam, harass, threaten, or unlawfully contact any person whose details are received through the platform. Misuse of buyer information may result in suspension, termination, or legal action.

Users shall not use UdyogIndia for any unlawful, fraudulent, harmful, abusive, misleading, unethical, or prohibited activity. Users shall not list, promote, buy, sell, advertise, or facilitate counterfeit products, stolen goods, infringing goods, unsafe products, illegal items, restricted goods, false services, unauthorized products, or any product or service prohibited under applicable law.

Users shall not post abusive, defamatory, obscene, hateful, threatening, misleading, discriminatory, fraudulent, or unlawful content. Users shall not upload viruses, malware, spyware, spam, automated scripts, scraping tools, harmful code, or any technology intended to damage, overload, interfere with, or disrupt the platform. Users shall not impersonate another person, company, brand, government authority, or representative.

Users shall not violate intellectual property rights, misuse personal data, harvest contact information, interfere with platform security, manipulate rankings, create fake accounts, submit fake reviews, generate false enquiries, engage in fraud, money laundering, bribery, tax evasion, illegal trade, or any activity that may harm UdyogIndia, its users, or public interest. UdyogIndia may suspend, restrict, or terminate any account involved in such conduct.

By submitting, uploading, posting, displaying, or sharing any content on UdyogIndia, including business information, product details, service descriptions, images, logos, trademarks, catalogues, videos, documents, reviews, messages, advertisements, certificates, brochures, or quotations, you confirm that you own or have lawful rights to use such content and that it does not violate any law or third-party rights.

You grant UdyogIndia a non-exclusive, worldwide, royalty-free, transferable, sublicensable right to use, display, publish, reproduce, modify, format, distribute, promote, translate, store, index, and process such content for the purpose of operating, marketing, improving, and providing services through the platform. This includes using content in search results, category pages, promotional campaigns, advertisements, emails, SMS, social media posts, and other marketing or business communication related to UdyogIndia.

UdyogIndia may remove or modify user content at its discretion without prior notice. Removal or modification of content does not create any liability on UdyogIndia and does not waive the user's responsibility for the content originally submitted.

All trademarks, logos, trade names, software, website design, mobile application design, graphics, database, layout, text, icons, images, features, service names, search tools, algorithms, platform structure, and other materials owned or controlled by UdyogIndia are the intellectual property of UdyogIndia or its licensors. Users shall not copy, reproduce, sell, distribute, modify, reverse engineer, scrape, exploit, mirror, frame, or use any intellectual property belonging to UdyogIndia without prior written permission.

Users remain fully responsible for ensuring that the content uploaded by them does not infringe any copyright, trademark, patent, design, trade secret, domain name, publicity right, privacy right, or other intellectual property right of any third party. Use of brand names, logos, product images, certificates, or copyrighted materials without authorization is strictly prohibited.

If UdyogIndia receives a complaint regarding intellectual property infringement, it may remove or restrict the relevant content, request documents, suspend the user account, or take any action considered appropriate. Users agree to cooperate with UdyogIndia in resolving such complaints.

By registering on or using UdyogIndia, you consent to receive communications from UdyogIndia through phone calls, SMS, WhatsApp, email, application notifications, in-app messages, postal communication, or any other mode of communication for verification, service updates, enquiries, leads, promotional offers, subscription reminders, payment reminders, account information, support, feedback, legal notices, policy updates, and other business-related purposes.

Such communications may be sent by UdyogIndia, its employees, representatives, call centres, service providers, technology partners, marketing partners, or authorized agents. You agree that such communications may be made even if your number is registered under any do-not-disturb or similar preference service, to the extent permitted by applicable law and based on your consent through use of the platform.

You may opt out of certain promotional communications where such option is provided. However, important service-related, transactional, legal, security, or account communications may continue to be sent. Users agree not to misuse the communication tools of the platform or send spam, abusive, threatening, fraudulent, misleading, or unlawful messages to other users.

Your use of UdyogIndia is also governed by the Privacy Policy of UdyogIndia. By using the platform, you consent to the collection, storage, processing, use, sharing, transfer, and protection of your information in accordance with the Privacy Policy and applicable laws. The Privacy Policy explains how UdyogIndia may collect user information, business details, communication records, device data, enquiry details, and other information for providing and improving services.

Users who receive personal data, business information, contact details, enquiry details, or communication records from other users must use such information only for legitimate and lawful business purposes. Such information must not be sold, misused, published, spammed, transferred unlawfully, or processed in violation of applicable data protection laws.

Users are responsible for obtaining all necessary consents before uploading or sharing information relating to employees, representatives, customers, partners, or third parties on the platform.

The platform may contain links or integrations with third-party websites, advertisers, payment gateways, logistics providers, verification agencies, analytics providers, social media platforms, service providers, or external platforms. UdyogIndia does not control, endorse, guarantee, or assume responsibility for any third-party service and shall not be responsible for the content, accuracy, policies, security, performance, actions, omissions, charges, availability, or privacy practices of any third-party website or service.

Users access third-party services at their own risk. Any transaction, payment, communication, or data sharing with third parties may be governed by the terms and privacy policies of those third parties. Users should review such terms carefully before using third-party services.

The presence of a third-party link or integration on UdyogIndia does not imply endorsement, partnership, agency, warranty, or responsibility by UdyogIndia.

UdyogIndia provides the platform and services on an "as is", "as available", and "with all faults" basis. UdyogIndia does not guarantee that the platform will always be available, uninterrupted, secure, error-free, virus-free, compatible with every device, or suitable for every business purpose. The platform may be unavailable from time to time due to maintenance, upgrades, technical issues, internet failures, cyber incidents, server problems, or circumstances beyond the control of UdyogIndia.

UdyogIndia does not guarantee that listings, user details, product information, prices, leads, enquiries, business profiles, reviews, ratings, rankings, certificates, images, or any other information displayed on the platform will always be accurate, complete, updated, lawful, reliable, or suitable for a user's purpose.

Users access and use the platform at their own risk. No advice, information, communication, representation, or support provided by UdyogIndia shall create any warranty unless expressly stated in writing by an authorized representative.

To the maximum extent permitted by law, UdyogIndia, its owners, directors, employees, agents, affiliates, partners, representatives, contractors, licensors, and service providers shall not be liable for any direct, indirect, incidental, special, consequential, punitive, commercial, business, financial, reputational, data-related, or other loss arising from the use of or inability to use the platform.

This limitation applies to losses arising from transactions between users, false or misleading listings, defective products, delayed delivery, non-payment, failed negotiations, technical errors, cyberattacks, service interruptions, unauthorized access, loss of data, loss of profits, loss of revenue, loss of goodwill, loss of opportunity, business interruption, or acts or omissions of buyers, sellers, suppliers, advertisers, service providers, or third parties.

In any case, the total liability of UdyogIndia, if legally established, shall not exceed the amount, if any, paid by the concerned user to UdyogIndia for the specific paid service giving rise to the claim during the relevant period. Users agree that this limitation is reasonable considering the nature of the platform as a facilitator.

You agree to indemnify, defend, and hold harmless UdyogIndia, its owners, directors, employees, agents, affiliates, partners, representatives, contractors, licensors, and service providers from and against any claims, demands, losses, damages, liabilities, penalties, costs, expenses, legal proceedings, investigations, or actions arising from your use of the platform, your breach of these Terms and Conditions, your violation of applicable law, your infringement of third-party rights, your products or services, your listings or content, your business dealings, your misuse of user information, your tax or regulatory non-compliance, or any dispute between you and another user.

This indemnity includes claims arising from product defects, service failures, false advertising, intellectual property infringement, data misuse, non-delivery, non-payment, consumer complaints, regulatory actions, and any other matter related to your activities on or through the platform.

UdyogIndia reserves the right to assume the defence and control of any matter subject to indemnification, and you agree to cooperate with UdyogIndia in such defence.

UdyogIndia may suspend, restrict, downgrade, disable, or terminate your access to the platform without prior notice if it believes that you have violated these Terms and Conditions, provided false information, misused the platform, failed to complete required verification or payment, engaged in fraudulent or unlawful activity, violated the rights of another person, harmed the interests of UdyogIndia or its users, or acted in a manner that may expose UdyogIndia to legal, financial, reputational, operational, or technical risk.

Suspension or termination may include removal of listings, restriction of leads, disabling of communication tools, cancellation of subscriptions, withdrawal of verification status, blocking of account access, or refusal to provide further services. UdyogIndia shall not be liable for any loss arising from suspension or termination carried out in accordance with these Terms.

Termination of access shall not affect any rights, obligations, liabilities, or claims that arose before such termination. Clauses relating to intellectual property, privacy, limitation of liability, indemnity, governing law, dispute resolution, and other provisions intended to survive shall continue to remain effective.

UdyogIndia reserves the right to update, amend, modify, replace, or revise these Terms and Conditions at any time. Any revised terms may be posted on the platform with an updated date. UdyogIndia may, at its discretion, notify users of significant changes through email, SMS, application notification, website notice, or other communication channels.

Continued use of the platform after such changes are posted shall mean that you have accepted the revised Terms and Conditions. If you do not agree with the revised terms, you should stop using the platform. Users are advised to review these Terms periodically to remain aware of their rights and obligations.

Changes may be made to reflect legal updates, business changes, new services, revised payment models, security practices, user feedback, operational requirements, or marketplace developments.

UdyogIndia shall not be liable for any delay, failure, interruption, suspension, loss, or non-performance caused by events beyond its reasonable control. Such events may include natural disasters, fire, flood, earthquake, storms, epidemics, pandemics, strikes, labour disputes, war, terrorism, riots, civil unrest, government actions, court orders, regulatory restrictions, internet failures, cyberattacks, hacking, technical outages, server failures, power failures, telecom failures, third-party service failures, or any other force majeure event.

During such events, UdyogIndia may suspend, delay, modify, or limit services without liability. UdyogIndia shall make reasonable efforts to restore services where commercially and technically feasible, but it does not guarantee uninterrupted operation during or after force majeure events.

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of India. Subject to applicable law, the courts located in India shall have exclusive jurisdiction over all disputes arising from or relating to these Terms and Conditions, the platform, user accounts, paid services, listings, communications, or services provided by UdyogIndia.

Users agree that any claim or dispute shall be brought only before the competent courts having jurisdiction as stated above, unless another dispute resolution mechanism is expressly agreed in writing. The use of the platform from any location outside the selected jurisdiction shall not create jurisdiction in any other court unless required by mandatory law.

In the event of any dispute, claim, complaint, or disagreement arising between a user and UdyogIndia, the parties shall first attempt to resolve the matter amicably through written communication. The user may contact UdyogIndia through the contact details provided on the platform or in these Terms. UdyogIndia may review the issue and attempt to provide a practical resolution where possible.

If the dispute is not resolved within a reasonable time, it may be referred to the competent court or other dispute resolution mechanism as permitted under Indian law. UdyogIndia is not obligated to resolve commercial disputes between buyers and sellers, but it may, at its discretion, provide available platform information or assist communication between users.

Users agree not to make false, abusive, defamatory, or public allegations against UdyogIndia without first giving UdyogIndia a reasonable opportunity to review and respond to the concern.

Users should provide sufficient details while raising a grievance, including name, contact information, account details, listing details, description of the issue, relevant screenshots, payment reference numbers, communication records, and any supporting documents where applicable. UdyogIndia may require verification of identity before processing a request.

UdyogIndia will make reasonable efforts to review and respond to grievances within a reasonable time, subject to applicable law, complexity of the issue, availability of information, and cooperation from the user.

These Terms and Conditions, along with the Privacy Policy and any other policies, notices, disclaimers, subscription terms, payment terms, service-specific terms, or guidelines published by UdyogIndia, constitute the entire agreement between UdyogIndia and the user regarding use of the platform.

If any provision of these Terms and Conditions is found to be invalid, unlawful, void, or unenforceable by a competent authority, the remaining provisions shall continue to remain valid and enforceable. The invalid provision shall be replaced or interpreted in a manner that most closely reflects the original intention and is legally enforceable.

Failure by UdyogIndia to enforce any provision of these Terms shall not be treated as a waiver of its right to enforce such provision later. No waiver shall be valid unless made in writing by an authorized representative of UdyogIndia.

By accessing, registering on, listing on, enquiring through, purchasing through, selling through, communicating through, subscribing to, advertising on, or otherwise using UdyogIndia, you confirm that you have read, understood, and agreed to these Terms and Conditions.

You further confirm that you are using the platform voluntarily and that you understand the role of UdyogIndia as a facilitator between business users. You acknowledge that all business dealings, transactions, payments, delivery commitments, product claims, service commitments, warranties, and disputes between users are the responsibility of the concerned users.

Continued use of UdyogIndia shall be treated as continuing acceptance of these Terms and Conditions, including any amendments, updates, or modifications made from time to time.
